Eazysoft, of Nairobi, Kenya ([email protected]), builds software and gives consultancy to businesses. These terms cover that work. Each piece of work is also set out in a written proposal; where the proposal and these terms differ, the proposal wins.
Mizani licences are sold on mizani.eazysoft.africa, under that site's own terms of sale and refund policy.
Proposals
Before any paid work starts, we agree in writing what will be done, the price, how it is paid and, for a project, the delivery dates. Work starts once you accept the proposal. Changes to the scope are agreed in writing, with their effect on price and dates, before we do them.
How we work
- Fixed-scope project: a defined system for a fixed price, delivered in stages with working software you can try along the way.
- Monthly retainer: a set amount of time each month for improvements and support on a system you already have, billed monthly in advance.
- Team extension: an engineer working inside your team for an agreed period, billed as the proposal sets out.
- Consultation: a call or review, with its cost confirmed before it is booked.
Prices and payment
We bill against invoices, in Kenya shillings or US dollars, on the schedule in the proposal. You can pay by bank transfer, by M-Pesa, or by card through Paystack. Card details go to Paystack and are never seen or stored by Eazysoft. If an invoice is overdue, we may pause the work until it is paid, after telling you.
Cancellation and refunds
- Either of us can end the work in writing. You pay for the work done up to that point, and we hand over everything produced for it.
- Money paid in advance for work we have not done, or not yet started, is refunded.
- A consultation cancelled at least one working day before it starts is refunded in full or moved to another time.
- If you are charged twice, or more than the invoice, we refund the difference.
Refunds go back the way you paid: a card payment to the same card through Paystack, an M-Pesa payment to the number that paid, a bank transfer to the account it came from. To ask for one, write to [email protected] with the invoice number.
Who owns the work
You own the code we write for you once the invoice covering it is paid. Open-source libraries and frameworks it uses stay under their own licences, and our own products, such as Mizani, are licensed to you under their own terms rather than transferred. We may reuse general know-how and code that is not specific to your business.
Confidentiality
We keep your business information, data and credentials confidential, use them only to do the work, and do not share them except with the providers needed to do it. We do not name you as a client without your permission.
Your part
You give us the access, information and decisions the work needs, on time. Delays on your side can move the dates in the proposal. You are responsible for having the rights to anything you give us to use, and for your own accounts with third parties such as Safaricom, Paystack or your hosting provider.
Defects
If something we delivered does not do what the proposal says, tell us and we fix it at no charge. The proposal sets how long this applies after delivery.
Liability
To the extent the law allows, our total liability for any piece of work is limited to the amount you paid for it, and we are not liable for indirect losses such as lost profit or lost data. Nothing in these terms limits any right you have under the law that cannot be limited.
Changes and law
We may update these terms; the version in force when you accept a proposal applies to that work. These terms are governed by the laws of Kenya.
